Board Member Code of Conduct

Purpose

The Board of Directors of American Rebirth Bridge is responsible for protecting the mission, values, reputation, and resources of the organization. Board members are expected to act with integrity, honesty, professionalism, and a commitment to serving the community.

Board Member Responsibilities

Each Board Member agrees to:

1. Support the Mission

  • Understand and support the mission, vision, programs, and goals of American Rebirth Bridge.
  • Act as an ambassador for the organization and promote its purpose in a positive manner.

2. Act in the Best Interest of the Organization

  • Make decisions based on what is best for American Rebirth Bridge and the people it serves.
  • Avoid personal gain or decisions influenced by personal relationships.

3. Maintain Confidentiality

  • Protect confidential information involving residents, staff, donors, partners, finances, and organizational planning.
  • Do not share private information without proper authorization.

4. Demonstrate Professional Conduct

Board members shall not engage in:

  • Harassment, discrimination, intimidation, or disrespectful behavior.
  • Threatening, abusive, or inappropriate communication.
  • Conduct that damages the reputation of American Rebirth Bridge.

5. Financial Responsibility

Board members agree to:

  • Protect organizational assets and resources.
  • Review financial information responsibly.
  • Avoid misuse of nonprofit funds or property.

6. Attendance and Participation

Board members agree to:

  • Attend scheduled board meetings.
  • Participate in committees, planning, fundraising, or organizational activities when possible.
  • Come prepared to discuss important matters.

7. Respectful Decision-Making

  • Listen to different viewpoints.
  • Respect majority decisions made through proper board procedures.
  • Address disagreements professionally.

Conflict of Interest Policy

Purpose

This policy ensures that Board Members make decisions based on the mission and best interests of American Rebirth Bridge without personal conflicts influencing organizational decisions.

Definition of Conflict of Interest

A conflict of interest occurs when a Board Member's personal, financial, family, or business interests could influence—or appear to influence—their ability to make fair decisions for the organization.

Examples of Potential Conflicts

A conflict may exist if a Board Member:

  • Has a financial interest in a company doing business with American Rebirth Bridge.
  • Receives personal benefits from nonprofit decisions.
  • Has a family member who may benefit financially from an organizational transaction.
  • Uses nonprofit information, resources, or opportunities for personal gain.

Board Member Responsibilities

Board Members agree to:

  • Fully disclose potential conflicts.
  • Remove themselves from discussions or votes involving a conflict.
  • Act honestly and transparently.
  • Place the interests of American Rebirth Bridge above personal interests.
